How to register your fund

Initial applications for an authorisation to publicly offer an investment fund in Switzerland have as their objective to ensure that you can place your fund within the Swiss market within a reasonable time.

We like to plan the authorisation process with our clients from preparing the representation agreement to adding the "Swiss finish" to the prospectus and foreseeing the conclusion of the first distribution agreements - a straight-through process that takes you from the starting point and into the market.

We will provide you with:

  • the representation agreement
  • an agreement on the terms of commercialisation (distribution and private placement)
  • a paying agency agreement

These documents are in standard form and have been accepted by the Swiss authorities as being in compliance with the local laws and regulations. The documents will be negotiated and adapted to the specific characteristics of your fund and your business model.

The adaptation of a fund's prospectus for authorisation from the Swiss Financial Market Supervisory Authority is a key element in ensuring a reasonable time to market. The Swiss Financial Market Supervisory Authority has issued directives, guides and circulars to guide the preparation of such applications.

We will provide you with "know your distributor" reports for both your compliance department and your marketing staff, based on our market radar database.

We will provide the fund's marketing staff with a Swiss fund market overview and an assessment of the potential Swiss distributors.

We will be available for discussions with your marketing, compliance, operational and legal officers.

We guarantee full cost transparency: our fees are set out in the representation agreement. We will invoice you on a quarterly basis and provide you with a detailed bill.

To reduce your time to market, we establish a project time line and a budget with you. Besides coordinating this process with you, we will assume all tasks in house, so as to maintain quality and momentum.
